Richmond Montessori School is a Virginia non-member, non-stock corporation operated for educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. The school was incorporated in April 1965.The governance of the school lies with the Board of Trustees. The RMS Board meets as a whole at least nine times per year and is guided by bylaws that contain provisions dictated by law and our accrediting agencies, the American Montessori Society and the Virginia Association of Independent schools. The bylaws specify that the Board will consist of 10 to 25 individuals who are elected for one- to three-year terms. The Board annually elects a Board Chair, a Vice Chair, a Secretary, and a Treasurer. All Trustees volunteer their time and sign statements of care, duty, conflict of interest, and confidentiality as part of their service to the school. The Board annually approves an Executive Committee, comprised of not fewer than five Board members. The Executive Committee works with the Chair to establish the Board’s annual agenda, which is derived from the priorities of the strategic plan, a document created periodically through the collective efforts of all of the school’s constituencies and adopted by the Board. Trustees hold in trust the school's future, as well as its present. The Board of Trustees is responsible for the property and affairs of the Corporation including the fiduciary integrity of the school, supervision and evaluation of the Head of School, and long-range planning. Much of the Board’s work is done through active Board committees, which meet throughout the year. Typical committees focus on finance, building and grounds, advancement, support and evaluation of the Head of school, and the Board’s own performance and succession. The Head of school is the Chief Executive Officer of the school. The Head is charged with implementing the school’s strategic plan and overseeing the effective administration of all aspects of the school’s operation including staffing and educational programming. 2011-2012 Board of Trustees
